Introduction and Acceptance of Terms

Welcome to DecisionPanel. These Terms of Service (“Terms”) govern your access to and use of the DecisionPanel platform, website, software, and any related services (collectively, the “Service”). DecisionPanel is an internal decision-support and operational intelligence system designed to assist businesses in organizing customer conversations, analyzing engagement data, tracking sales workflows, and generating advisory insights for human sales teams.

By accessing or using DecisionPanel in any manner, you confirm that you have read, understood, and agreed to be bound by these Terms, along with our Privacy Policy and any additional guidelines or policies referenced herein. If you do not agree to these Terms, you may not access or use the Service.

DecisionPanel is provided exclusively for internal business use. It does not communicate with customers autonomously, does not send messages on a user’s behalf, and does not replace human judgment. All final decisions, communications, and actions remain the sole responsibility of the user and their organization.

We reserve the right to modify, update, or replace these Terms at any time. Continued use of the Service after any changes constitutes acceptance of the revised Terms.

1. Description of the Service

DecisionPanel is an internal software platform that aggregates customer conversation data from connected messaging environments and presents that information in a structured interface for review by authorized users. The Service enables businesses to view historical conversations, organize customer interactions, monitor engagement patterns, and track sales stages across multiple representatives or pages.

In addition to data organization and visualization, DecisionPanel provides advisory insights generated through analytical and artificial intelligence-based systems. These insights may include suggested follow-up timing, conversation summaries, sales stage indicators, or strategic recommendations intended to assist internal teams. These outputs are strictly informational and advisory in nature.

DecisionPanel does not automatically send messages, respond to customers, initiate outreach, or perform any direct customer communication. All actions involving customer interaction are performed manually by human users outside of the platform. DecisionPanel functions as a decision-support system only and does not act as an agent, representative, or intermediary between businesses and their customers.

The Service is intended to support businesses managing multiple sales agents, customer pipelines, or social media pages by improving internal coordination, consistency, and operational visibility.

2. Eligibility and Account Responsibilities

To use DecisionPanel, you must be at least 18 years of age and have the legal authority to enter into binding agreements on behalf of yourself or the organization you represent. By creating an account or using the Service, you represent and warrant that you meet these eligibility requirements.

You are responsible for maintaining the confidentiality of your account credentials, including usernames, passwords, and access permissions. Any activity that occurs under your account is your responsibility, whether authorized or unauthorized. You agree to notify DecisionPanel immediately of any suspected unauthorized access or security breach related to your account.

Organizations using DecisionPanel are responsible for managing internal user access, roles, and permissions. You agree to ensure that all individuals granted access to the Service on your behalf comply with these Terms. DecisionPanel is not responsible for internal misuse, misconfiguration, or improper access management within your organization.

You agree to provide accurate, current, and complete information during account registration and to keep such information updated as necessary. Failure to do so may result in suspension or termination of access to the Service.

3. Advisory Nature of the Platform and User Responsibility

DecisionPanel is designed solely to provide advisory insights, analytical summaries, and internal operational guidance. All suggestions, recommendations, indicators, or outputs generated by the Service are non-binding and informational only.

You acknowledge and agree that DecisionPanel does not make decisions on your behalf and does not control, initiate, or execute any external communications or business actions. Any decision to contact a customer, send a message, modify a sales strategy, or act upon insights provided by the Service is made entirely by a human user exercising independent judgment.

DecisionPanel does not guarantee business outcomes, sales performance, conversion rates, or revenue results. Insights generated by the platform may be influenced by the quality, completeness, or accuracy of the data provided by users. You are solely responsible for evaluating the relevance and appropriateness of any information presented by the Service before relying on it.

By using DecisionPanel, you agree that your organization assumes full responsibility for all customer communications, compliance obligations, and business practices conducted outside the platform, including adherence to applicable laws, regulations, and third-party platform policies.

4. Use of the Service and Acceptable Conduct

You agree to use DecisionPanel solely for lawful internal business purposes and in compliance with these Terms, all applicable laws, regulations, and third-party platform policies. The Service is intended to support internal decision-making and operational review, not to automate or execute external actions.

You agree not to misuse the Service in any manner that could impair its functionality, security, or integrity. Prohibited activities include, but are not limited to, attempting to access unauthorized data, reverse engineering any portion of the platform, bypassing security measures, or using the Service in a way that interferes with other users.

You further agree not to use DecisionPanel to facilitate or promote unlawful, deceptive, or abusive business practices. All customer communications conducted outside the platform remain your responsibility, including ensuring transparency, accuracy, and compliance with consumer protection laws.

DecisionPanel reserves the right to investigate suspected misuse and to suspend or terminate access if we reasonably believe the Service is being used in violation of these Terms or in a manner that could expose DecisionPanel to legal, regulatory, or reputational risk.

5. Data Sources and Third-Party Integrations

DecisionPanel may connect to or receive data from third-party platforms, messaging services, or social media systems as authorized by the user. These integrations are provided solely for the purpose of displaying and organizing conversation data within the DecisionPanel interface.

DecisionPanel does not control, operate, or modify third-party platforms and is not responsible for their availability, accuracy, or functionality. Any data obtained from third-party services is subject to the terms, conditions, and policies of those services.

You acknowledge that third-party platforms may change, restrict, suspend, or terminate access at any time. DecisionPanel is not liable for disruptions caused by such changes. You are responsible for maintaining compliance with all third-party platform rules governing how data is accessed, stored, and used.

DecisionPanel does not initiate communications on third-party platforms. All messages are sent manually by human users outside of the Service.

6. Intellectual Property and Ownership

All intellectual property rights in DecisionPanel, including software, interfaces, algorithms, designs, trademarks, and documentation, are owned by or licensed to DecisionPanel. These Terms do not grant you any ownership interest in the platform.

You retain all rights to your own business data, customer information, and content submitted or displayed within the Service. By using DecisionPanel, you grant us a limited, non-exclusive license to process and display such data solely for the purpose of operating and improving the Service.

You may not copy, modify, distribute, sell, or lease any part of the Service or its underlying technology without prior written permission. Any unauthorized use of DecisionPanel’s intellectual property may result in termination of access and legal action.

7. Service Availability and Modifications

DecisionPanel is provided on an “as-is” and “as-available” basis. While we strive to maintain reliable service availability, we do not guarantee uninterrupted or error-free operation.

We may perform maintenance, updates, or improvements that temporarily affect availability. DecisionPanel may also modify, suspend, or discontinue features at any time, with or without notice, to improve performance, security, or compliance.

DecisionPanel is not responsible for delays, interruptions, or data unavailability caused by events outside our reasonable control, including network failures, third-party service outages, or force majeure events.

8. Disclaimers and No Guarantees

DecisionPanel provides analytical insights, summaries, and advisory recommendations only. The Service does not guarantee accuracy, completeness, or suitability of any output for a particular purpose.

All insights are generated based on available data and internal logic and should not be considered professional advice, including legal, financial, or investment advice. You are solely responsible for evaluating and acting upon any information provided.

DecisionPanel makes no representations or warranties regarding business performance, sales outcomes, revenue generation, customer engagement, or conversion results. Use of the Service is entirely at your own risk.

To the maximum extent permitted by law, DecisionPanel disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, DecisionPanel, its affiliates, directors, officers, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. This includes, without limitation, damages for lost profits, lost revenue, lost business opportunities, loss of data, business interruption, reputational harm, or any other commercial or economic loss.

DecisionPanel shall not be liable for any decisions made, actions taken, or communications sent by users based on insights, summaries, or advisory suggestions generated by the Service. All outputs are informational only, and reliance on such outputs is at your sole discretion and risk.

In no event shall DecisionPanel’s total cumulative liability for any claims arising out of or related to the Service exceed the amount paid by you to DecisionPanel for use of the Service during the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such cases, DecisionPanel’s liability shall be limited to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless DecisionPanel and its affiliates, directors, officers, employees, contractors, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use or misuse of the Service
  • Any communications, representations, or actions taken outside the platform
  • Your violation of these Terms
  • Your violation of any applicable law, regulation, or third-party policy
  • Any claim by a third party, including customers or platform providers, arising from your business practices

DecisionPanel reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate fully in the defense.

11. Suspension and Termination

DecisionPanel may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including but not limited to violations of these Terms, misuse of the Service, legal or regulatory concerns, or actions that pose risk to the platform or its users.

You may terminate your account at any time by discontinuing use of the Service and following any applicable account closure procedures.

Upon termination, your right to access the Service will immediately cease. DecisionPanel may, but is not obligated to, delete or anonymize stored data after termination, subject to legal retention requirements.

Termination does not relieve you of obligations incurred prior to termination, including payment obligations, indemnification duties, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which DecisionPanel is incorporated, without regard to conflict-of-law principles.

Any disputes arising out of or related to these Terms or the Service shall be resolved exclusively through binding arbitration or courts of competent jurisdiction located within that jurisdiction, unless otherwise required by applicable law.

You agree that any claim must be brought in an individual capacity and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

13. Miscellaneous Provisions

These Terms constitute the entire agreement between you and DecisionPanel regarding use of the Service and supersede any prior agreements or understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

DecisionPanel’s failure to enforce any provision shall not be deemed a waiver of future enforcement.

You may not assign or transfer your rights under these Terms without prior written consent. DecisionPanel may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
